1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Torq'd Ltd ("Torq'd", "we", "us"), governing your access to and use of the Torq'd garage management platform, website, and related services (collectively, "the Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
- You must be at least 18 years old to use the Service.
- You must have the authority to enter into this agreement on behalf of your business (if applicable).
- You must provide accurate, current, and complete registration information.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at support@torqd.uk if you suspect unauthorised access.
- Ensuring that any staff members you grant access to comply with these Terms.
We are not liable for losses arising from unauthorised use of your account where you have failed to maintain adequate security of your credentials.
4. The Service
4.1 What We Provide
Torq'd is a subscription software-as-a-service (SaaS) platform for garage and workshop administration, including:
- Booking and appointment management
- Customer relationship management (CRM)
- Quoting and invoicing
- Vehicle health checks
- Staff management and task assignment
- Customer communication workflows (where integrated)
4.2 Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Emergency maintenance may occur without prior notice where necessary to protect the integrity or security of the platform.
5. Acceptable Use
You must not:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload, transmit, or store any malicious code, viruses, or harmful data.
- Attempt to gain unauthorised access to other accounts, systems, or networks.
- Use the Service to send spam, unsolicited communications, or misleading messages.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute access to the Service without written consent.
- Use automated tools to scrape, crawl, or extract data from the Service.

6. Your Data
6.1 Ownership
You retain all ownership rights to the data you enter into Torq'd. We do not claim any intellectual property rights over your content.
6.2 Licence to Us
By using the Service, you grant Torq'd a limited, non-exclusive licence to process, store, and transmit your data solely for the purpose of providing the Service and as described in our Privacy Policy.
6.3 Data Portability
Upon request (or upon account cancellation), we will provide an export of your data in a standard machine-readable format within 30 days.
7. Intellectual Property
All intellectual property rights in the Service (including software, design, branding, documentation, and trademarks) remain the exclusive property of Torq'd Ltd. These Terms do not grant you any rights to use our branding or trademarks without prior written consent.
8. Payment and Subscription
Subscription fees, billing intervals, trial terms, and payment terms are governed by our Subscription & Billing Terms. By subscribing, you agree to those terms in addition to these Terms of Service.
9. Suspension and Termination
9.1 By You
You may cancel your subscription at any time through your account settings or by contacting support@torqd.uk. Cancellation takes effect at the end of your current billing period.
9.2 By Us
We may suspend or terminate your access if:
- You breach these Terms or the Acceptable Use Policy.
- Your payment fails and remains unresolved after our grace period.
- We are required to do so by law or regulatory order.
- Your use poses a security risk to the platform or other users.
Where reasonably possible, we will provide notice before suspension. In cases of serious breach or security risk, immediate suspension may occur without prior notice.
9.3 Effect of Termination
Upon termination:
- Your access to the Service will cease.
- Your data will be retained for 90 days, after which it will be permanently deleted.
- You may request a data export during the 90-day retention period.
- Sections that by their nature should survive termination (including liability, IP, and governing law) will continue to apply.
10. Limitation of Liability
10.1 Exclusions
To the maximum extent permitted by law, Torq'd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, business opportunities, or goodwill.
- Damages arising from your reliance on the Service for regulatory compliance (you remain responsible for your own legal obligations).
10.2 Cap
Our total aggregate liability to you for all claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to Torq'd in the 12 months preceding the claim.
10.3 Exceptions
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold Torq'd harmless from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of applicable law; or (d) any dispute between you and your customers.
12. Modifications to the Service
We may modify, update, or discontinue features of the Service at any time. Material changes that reduce core functionality will be communicated with at least 30 days' notice. Continued use after changes constitutes acceptance.
13. Changes to These Terms
We may revise these Terms from time to time. The updated version will be posted with a new effective date. Material changes will be notified via email. If you do not agree to revised Terms, you must stop using the Service and cancel your subscription.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, Subscription & Billing Terms, and Data Processing Agreement, constitute the entire agreement between you and Torq'd regarding the Service.
